Terms and Conditions

We are Etihad Airways PJSC, a public joint stock company established by Emiri Decree No. 1 of 2003 in the Emirate of Abu Dhabi, whose registered address is at PO Box 35566, Abu Dhabi, United Arab Emirates (“Etihad”). “Etihad For Business” is a program that is voluntary to join and that offers rewards and benefits for Etihad’s returning corporate customers.

 

These terms and conditions (the “Terms and Conditions”) are an agreement between Etihad and the legal entity that: (a) is applying to become a member of Etihad For Business (the “Applicant”), or (b) is or becomes a member of Etihad For Business (as determined by clause 2.3.3) (the “Member”), and govern such entity’s participation in Etihad For Business (such Applicant or Member being, the “Business”). The individual that accepts these Terms and Conditions, or executes an Addendum which incorporates these Terms and Conditions, represents that they are authorised to agree to these Terms and Conditions, and Addendum (if applicable), for and on behalf of Business.

 

Please read these Terms and Conditions carefully.

1.1       In these Terms and Conditions, the following terms shall have the meaning set out below:

 

1.1.1    “Addendum” means the addendum, if any, entered into between Etihad and Business that incorporates these Terms and Conditions.

 

1.1.2    “Administrator” has meaning set out in clause 2.3.1.

 

1.1.3    “Affiliate” means in relation to an entity, any entity or person that controls, is controlled by, or is under common control with that entity. “Control” means the beneficial ownership of more than fifty percent (50%) of the issued share capital of an entity or the legal power to direct or cause the direction of the general management of the entity.

 

1.1.4    “Agreement” means these Terms and Conditions and the Addendum(if any).

 

1.1.5    “Ancillaries” has the meaning set out in clause 4.1.2.

 

1.1.6    “Applicant” has the meaning given in the introduction to these Terms and Conditions.

 

1.1.7    “Appointed Travel Agent” means a travel agent nominated by Member through the Members’ Portal or notified by Member to the Member’s Etihad account manager in writing.

 

1.1.8    “Award Date” has the meaning set out in clause 5.3.

 

1.1.9    “Business” has the meaning given in the introduction to these Terms and Conditions.

 

1.1.10    “CCI Number” means the number assigned to the Member by Etihad, and notified to the Member by Etihad as the CCI Number on or shortly after becoming a Member.

 

1.1.11    “Confidential Information” has the meaning set out in clause  13.1.

 

1.1.12    “DAA” has the meaning set out in clause 12.3.

 

1.1.13    “Data Aggregation Provider” has the meaning set out in clause 12.3.

 

1.1.14    “Discounted Air Fares” has the meaning set out in clause 7.3.1.

 

1.1.15    “Effective Date” means the date on which the Terms and  Conditions are accepted by Business, or the Addendum is executed by both Parties (as applicable).

 

1.1.16    “Eligible Entities” means all commercial businesses, government bodies, NGOs or charities, including companies, partnerships or other corporate bodies. Eligible Entities does  not   include: (i) any  entities that Etihad determines are ineligible as a result of being a recipient of discounts, rebates, vouchers, free tickets or other incentives or rewards outside of  Etihad For Business; (ii) entities that are Affiliates or branches of  an existing Member; or (iii) travel agencies, tour operators, consolidators, ticket brokerage firms or similar entities whose business is acting as an agent for the purchase of tickets for customers.

 

1.1.17    “Eligible Flights” means Etihad Flights flown by Eligible Travelers for the business purposes of the Member. For the avoidance of doubt, Eligible Flights does not include: (i) flights booked by Members on behalf of their customers or a third party where that third party is not: (a) in the Member Group, or (b) an Eligible Traveler; (ii) charter flights; and (iii) flights under the following fares: marine fares, fares offered under a discount (other than discounts offered as part of Etihad For Business) such as industry (including agency discount, industry discount or interline tickets), student, group, promotional, free or reward  fares, and any other fares that are notified as not being an Eligible Flight at the time of booking.

 

1.1.18    “Eligible Spend” has the meaning set out in clause 4.1.

 

1.1.19    “Eligible Travelers” means: (i) Member Personnel; (ii) in relation to Relocation Flights, family members of Member Personnel;   and (iii) any other categories of individuals identified as Eligible Travelers in the Addendum. For the avoidance of doubt, Eligible Travelers does not include Member’s customers.

 

1.1.20    “Etihad” has the meaning given in the introduction to these Terms and Conditions.

 

1.1.21    “Etihad Flights” means Etihad operated and marketed flights only ticketed on Etihad tickets (identified by a ticket number beginning 607). For the avoidance of doubt, Etihad Flights does not include codeshare flights operated by other airlines.

 

1.1.22    “EYB Credits” means credits that may be applied to a Member’s account in accordance with clause 5.

 

1.1.23    “EYB Rewards” has the meaning set out in clause 6.1.

 

1.1.24    “Member” has the meaning given in the introduction to these Terms and Conditions.

 

1.1.25    “Member Affiliates” means Affiliates of Member that, if the Member has a travel policy, are governed by the same business  travel policy as the Member.

 

1.1.26    “Member Group” means the Member, Member’s branch offices and Member Affiliates.

 

1.1.27    “Member Personnel” means employees, contractors, directors and other personnel of the Member Group.

 

1.1.28    “Members’ Portal” means the online portal available at  www.etihadforbusiness.com.

 

1.1.29    “Member Tier” means the tier set out in the Addendum or, if the Member does not have an Addendum, as notified to the Member in writing from time to time.

 

1.1.30    “Party” means Etihad or Business, and “Parties” means Etihad and Business.

 

1.1.31    “Relocation Flights” means flights undertaken for the purpose of relocating Member Personnel or their family members for business purposes of the Member.

 

1.1.32    “Term” means the period that begins on the Effective Date until  the date on which the Agreement terminates in accordance with clause 10.

 

1.1.33    “Tier Rewards” has the meaning set out in clause 7.1.

 

1.2    Interpretation.

 

1.2.1    In the event and to the extent of any conflict or inconsistency  between the following terms, the following order of precedence shall apply:

 

(a)  Conditions of Carriage;

 

(b)  other terms and conditions for EYB Rewards applicable in accordance with clause 6.2;

 

(c)  Addendum; and

 

(d)  these Terms and Conditions.

 

1.2.2    The following rules of interpretation apply to this Agreement:

 

(a) clause headings shall not affect the interpretation of this Agreement;

 

(b) unless the context otherwise requires, words in the  singular shall include the plural and in the plural shall include the singular;

 

(c)  a reference to a URL is a reference to that URL or to such  other URL as determined by Etihad from time to time;

 

(d)  a reference to a statute, statutory provision or other legal instrument, or Etihad policy, is a reference to it as amended, extended or re-enacted from time to time; and

 

(e)  any words following the terms including, include, in particular, for example or any similar expression shall be construed as illustrative and shall not limit the sense of the words, description, definition, phrase or term preceding those terms.

2.1      Etihad BusinessConnect and other prior arrangements.

 

2.1.1      Etihad For Business is replacing Etihad BusinessConnect and all other loyalty, incentive, reward or incentive schemes or  contractual arrangements between Etihad and its corporate customers that are Eligible Entities (the “Other Arrangements”). Accordingly, the Parties agree that all agreements entered into between the Parties (or Etihad and an Affiliate of Business): (i) in relation to Etihad BusinessConnect, (ii) in relation to an Other Arrangement, or (iii) otherwise relating to discounts, rebates, vouchers, free tickets or other incentives or rewards, in each case granted from Etihad to Business or Affiliate(s) of Business, (together, the “Old Agreements”) are hereby terminated and replaced with the Agreement.

 

2.1.2      Business hereby releases and discharges, any actions, claims, rights, demands and set- offs, whether in this jurisdiction or any other, whether or not presently known to the Parties or to the law, and whether in law or equity, that it may have or hereafter can, shall or may have against Etihad or any of its Affiliates  arising out of BusinessConnect, the Other Arrangements or the Old Agreements.

 

2.2      Eligibility.

 

2.2.1      Applicant represents that: (i) they are an Eligible Entity; and (ii) all information and documentation submitted by Applicant to  Etihad during the course of their participation in Etihad For Business is materially correct, accurate and complete.

 

2.2.2      For the avoidance of doubt, Etihad may accept or reject the application of any Applicant to be a member of Etihad For Business in its sole discretion and for any or no reason.

 

2.3      Application.

 

2.3.1      To apply for membership of Etihad For Business, Applicant must apply online at: https://www.etihadforbusiness.com/. As part of the application for membership, Applicant must  nominate an individual to be the administrator for the purposes of being issued with access to the Members’ Portal (the “Administrator”).

 

2.3.2      During the application process, Etihad may request documentation to support the application, which may include copies of Applicant’s incorporation documentation or other  proof of registration, or evidence that they are an Eligible Entity in the applicable jurisdiction, and Applicant shall promptly provide such documentation.

 

2.3.3      Etihad will notify Applicant using the notice details provided during the application process if their application to Etihad For Business is successful. An Applicant becomes a Member when they are notified that their application to Etihad For Business is successful.

3.1      Members’ Portal.

 

3.1.1      Following successful registration, Etihad will provide the Administrator with login details to the Members’ Portal. The Administrator may nominate further individuals to have access to the Members’ Portal through sub-accounts (up to a maximum number notified by Etihad to Member from time to time). The Members’ Portal allows Members to manage their membership of Etihad For Business, including (as available from time to time) checking awarded number of EYB Credits, adding or removing Appointed Travel Agents, and redeeming EYB Credits.

 

3.1.2      Member is responsible for ensuring the confidentiality and security of its Members’ Portal login details, and that such details are only used by the Administrator and approved individuals with sub-accounts.

 

3.1.3       Separate terms and conditions apply to the use of Etihad websites and are available at:
https://www.etihad.com/en-ae/legal/terms-and-conditions.

 

3.1.4      Member may change the identity of the Administrator from time to time on written notice to Etihad through the Members’ Portal. The Administrator may change the individuals with sub-accounts from time to time via the Members’ Portal.

 

3.2      The Member is responsible for ensuring that the Member’s corporate and contact details, including its email address, are kept up-to-date, and the Member may change their contact details via the Members’ Portal.

 

3.3      For the avoidance of doubt, the Member shall be solely responsible for:

(a)      any loss arising from the misuse of the EYB Credits or Tier Rewards by the Administrator or any individuals with sub-accounts; (b) any loss resulting  from Member’s failure, or the failure of Member Personnel or Appointed Travel Agents, to maintain the security or confidentiality of the login details for the Members’ Portal for accounts related to Member; and (c) any missing or lost EYB Rewards, EYB Credits or any other benefits to the Member resulting from not maintaining up-to-date and accurate contact details in accordance with clause 3.2.

4.1      Subject to clause 4.2, the “Eligible Spend” means:

 

4.1.1      spend on purchased fares for actually flown Eligible Flights; and

 

4.1.2      spend by the Member on products or services offered by Etihad  that are ancillary to an Eligible Flight, such as cabin class upgrades, excess baggage, seat selection, and airport transfers (“Ancillaries”), in each case, provided that: (a) the booking or purchase is made by an entity within the Member Group; and (b) when booking or making such purchase, such entity: (i) includes the CCI Number; and (ii) provides any other information or materials requested by Etihad from time to time, which may include supporting evidence to demonstrate that the flight was an Eligible Flight.

 

4.2      For the purpose of calculating Eligible Spend, the following amounts will be excluded:

 

4.2.1      any taxes or surcharges related, or payable in respect of, the Etihad Flight or Ancillaries;

 

4.2.2      Eligible Flights or Ancillaries paid for by the redemption of EYB Credits or any other points scheme or non-monetary compensation;

 

4.2.3      Eligible Flights booked or flown, or Ancillaries booked or purchased, prior to Business becoming a Member; and

 

4.2.4      any Eligible Flights booked or flown or Ancillaries booked or purchased during a period when the Member has been suspended in accordance with clause 10.2.2 or any bookings that  have been made in violation of Etihad policies or any other terms between Etihad and Member (or the applicable member of the Member Group).

 

4.3      Notwithstanding any other term in these Terms and Conditions, all calculations of Eligible Spend will be made by Etihad in its sole discretion and its determination will be final.

5.1      EYB Credits will be awarded to Members on the basis of their Eligible Spend in USD. Eligible Spend in a currency other than USD will be converted to USD for the purposes of calculating EYB Credits. The time and exchange rate of such conversion shall be at Etihad’s sole discretion.

 

5.2      Accrual rates of EYB Credits may vary from time to time depending on certain factors including the Member Tier. The accrual rate of EYB Credits that is applicable to the Member is as set out in the Addendum, or if the Member does not have an Addendum, as notified by Etihad to Member from time to time (including as set out on Etihad's website).

 

5.3      EYB Credits will be tracked throughout a calendar year, and finally calculated and credited to the Member as one amount on or around 1 February of the following calendar year (the date on which EYB Credits are awarded to the Member being the “Award Date”). EYB Credits will expire at 23:59 (UAE time) on the next 31 January  following the Award Date on which such EYB Credits were awarded.  As an illustration, if an Eligible Flight is flown on 1 October 2025, the EYB Credits arising from that Eligible Flight would be credited to Member on 1 February 2026, and would expire on 31 January 2027. For the avoidance of doubt, except at Etihad’s sole discretion, EYB Credits will not be credited to Member at the time of travel or any other time other than the Award Date.

 

5.4      If the Member believes that Eligible Flights or Ancillaries have been incorrectly excluded from the calculation of Eligible Spend, Member may contact Etihad using the details set out in clause 14.11 at any time prior to 1 January of the calendar year following the calendar year in  which the applicable Eligible Flight was flown, and must provide evidence and details of the missing Eligible Flights or Ancillaries. Claims made after such date will not be considered.

 

5.5      Etihad may, in its sole discretion, rescind or amend awarded EYB Credits that it reasonably believes to have been incorrectly credited to a Member.

6.1      EYB Credits may be redeemed for selected fares for use on selected Eligible Flights and selected Ancillaries via the Members’ Portal (and any other method of redemption as notified by Etihad to Member from time to time) (the “EYB Rewards”). Further details of EYB  Rewards in respect of which EYB Credits may be redeemed are available on the Members’ Portal.

 

6.2      Additional terms and conditions may apply to EYB Rewards, and Etihad will notify the Member of such terms and conditions separately at or before the time of booking the EYB Rewards, including where the EYB Rewards are provided by Etihad’s third party partners.

 

6.3      Etihad shall have sole discretion over the number of EYB Credits required in exchange for each EYB Reward. EYB Credits may not be used to pay for any surcharges or taxes applicable to the EYB Rewards and Member will be responsible for paying such amounts separately.

 

6.4       EYB Rewards may not be redeemed in-part by EYB Credits and Etihad will not accept a mix of EYB Credits and monetary payment in respect of an EYB Reward.

 

6.5      EYB Credits are not transferable in any way and are not exchangeable for cash. Member shall not attempt to sell, purchase, transfer or exchange EYB Credits or any other benefits outlined in this Agreement to or from a third party.

 

6.6      Any EYB Rewards, once booked, are non-refundable, unless the EYB Reward is cancelled by Etihad. If the EYB Reward is cancelled by Etihad, the EYB Credits that were redeemed in exchange for the EYB  Reward will be refunded to the Member within a reasonable period of time. Etihad may cancel EYB Rewards in accordance with the terms and conditions related to such EYB Reward or in the event that the EYB Reward was booked fraudulently or in breach of this Agreement or Etihad policies.

 

6.7       In the event that the Member instructs Etihad to redeem or otherwise deal with its EYB Credits or EYB Rewards in any manner on its behalf, Etihad may do so.

7.1      Following successful registration, and on or around the Award Date each year thereafter (or as notified to Member in accordance with clause 7.2), Etihad will notify Member of their Member Tier. Etihad determines a Member’s Tier on the basis of their Eligible Spend in the previous calendar year. Depending on the Member’s Tier, or as set out in an Addendum, the Member may receive additional benefits as part of Etihad For Business (such additional benefits being the “Tier Rewards”).

 

7.2      Etihad may, in its sole discretion and on notice to Member, change the Member’s Tier or Tier Rewards, at any time.

 

7.3      Discounts.

 

7.3.1      This clause 7.3 applies if the Member’s Tier Rewards include the benefit of any up-front discounted air fares (“Discounted Air Fares”).

 

7.3.2      Discounted Air Fares may be offered on particular routes as notified by Etihad to Member from time to time.

 

7.3.3      Member shall only use Discounted Air Fares for Eligible Flights.

 

7.3.4      Member may book Discounted Air Fares through the Members Portal (as available from time to time), through Appointed Travel Agents or through other methods as notified by Etihad to Member in writing from time to time. Member may add or remove Appointed Travel Agents through the Members’ Portal or by through the Member’s Etihad account manager in writing. Each Member is responsible for ensuring that its Appointed Travel Agents comply with this Agreement and that its Appointed Travel Agents only use the Discounted Air Fares in accordance with: (i) this Agreement, as if they were the  Member; and (ii) applicable law.

 

7.3.5      Member will not, and will not attempt to, sell, transfer or use the Discounted Air Fares for the benefit of any third party other than Member Affiliates or Eligible Travelers on Eligible Flights.

 

7.3.6      Etihad reserves the right to change the rate of discount, or particular routes, offered with respect to Discounted Air Fares, at any point in time with immediate effect.

 

7.3.7      The Parties shall work together to provide reasonable assistance to ensure the Discounted Air Fares are made accessible via Member’s online booking tool.

8.1      From time to time, Etihad may add, amend, or withdraw scheduled services from routes it operates, add additional routes or change the  type of services offered in relation to any specific route. Notwithstanding any other term of this Agreement, the EYB Rewards and Tier Rewards shall only apply while Etihad is operating the applicable services on the applicable routes, and nothing in this Agreement guarantees the continued operation of those services on those routes.

 

8.2      For the avoidance of doubt, Etihad’s Conditions of Carriage shall apply to all air fares purchased from Etihad, including where the air fare is an EYB Reward or a Discounted Air Fare.

 

8.3      All Discounted Air Fares and EYB Rewards are subject to availability and Etihad does not guarantee that any particular Discounted Air Fare or EYB Reward will be available from time to time.

9.1      Member shall:

 

9.1.1      at the request of Etihad, provide, or instruct the Appointed Travel Agents to provide, Etihad with the total amount spent by Member on air travel, the sectors and the cabin flown with Etihad, and the total sectors and cabin flown on routes and destinations as requested by Etihad, to determine overall Etihad market share on these routes. Member shall ensure that other airlines’ information will be supplied in an aggregated or otherwise de-identified manner;

 

9.1.2      in its official travel policy designate and promote Etihad as one of its preferred airline on a non-exclusive basis, for all its business travel by Eligible Travelers on all the routes operated by Etihad from time to time; and

 

9.1.3      to the extent applicable, set up and display Etihad as one of its preferred airline partner in Member’s online booking tool applicable for Member’s online bookings.

 

9.2      Business:

 

9.2.1      shall, in relation to the EYB Credits, EYB Rewards, Tier Rewards  and any other matter contemplated in this Agreement, comply and abide with all applicable rules, laws, regulations and Etihad’s policies and codes;

 

9.2.2      without limiting clause 9.2.1, shall comply with and procure that any Member Personnel and Appointed Travel Agents, comply with: (a) the Anti Bribery & Corruption Policy as may be communicated to it and updated from time to time; (b) the provisions of the UK Bribery Act 2010 (to the extent applicable); (c) the US Foreign Corrupt Practices Act 1977 (to the extent applicable); and (d) all other anti-bribery and anti corruption measures required by applicable laws; and

 

9.2.3      represents and warrants that it has and will continue to have all necessary rights, consents, permissions, approvals, licences and authorities to any content or materials made available by or on behalf of Business to Etihad during the Term in relation to this Agreement.

 

9.3      If Etihad reasonably suspect that Business is in breach of the Agreement, or is acting dishonestly or fraudulently with respect to Etihad For Business, Business shall provide Etihad or its auditors with access to any books and records reasonably necessary to enable Etihad or its auditors to verify Business’s compliance with the Agreement.

10.1      Termination by either Party. Either Party may terminate the Agreement for any or no reason on at least thirty (30) days’ written notice to the other Party.

 

10.2      Suspension or Termination by Etihad.

 

10.2.1      Etihad may immediately and indefinitely suspend a Member’s participation in Etihad For Business, or immediately terminate the Agreement on written notice to Business, in the event that:

 

(a)        Business has, or Etihad reasonably suspects that Business has, breached the Agreement, or acted fraudulently or negligently with respect to Etihad or Etihad For Business;

 

(b)        the operation of Etihad For Business as contemplated in the Agreement results in or could result in: (i) Etihad being in breach of applicable laws; or

 

(ii)       being subject to any licensing or regulatory regime;

 

(c)       Etihad is instructed by any governmental or regulatory body, or as a result of a change in applicable law or regulation is required, to cease operation of Etihad For Business; or

 

(d)      Business takes any step or action towards entering bankruptcy, administration, liquidation, or being wound up or struck off the register of companies (or any procedure with similar effect to any listed procedure).

 

10.2.2      If a Member is suspended from participation in Etihad For Business, during the period of suspension: (i) the Member may not redeem any EYB Credits or make use of any Tier Rewards; and (ii) Eligible Flights booked or flown or Ancillaries booked or purchased will not be considered in the calculation of EYB Credits. For the avoidance of doubt, EYB Credits may expire in accordance with clause 5.3 during the period of suspension.

 

10.3      Automatic termination. The Agreement shall automatically terminate:

 

10.3.1      if, and on the date that, Etihad notifies an Applicant that their registration to Etihad For Business was unsuccessful; or

 

10.3.2      on the date, if any, specified in the Addendum.

 

10.4      Consequences of termination. On the date on which this Agreement terminates: (a) all EYB Credits will automatically and irrevocably expire without any compensation to Member; (b)this clause 10.4 and the following clauses will survive expiry of this Agreement: 1, 3.3, 9.2, 9.3, 11, 13 and 14; and (c) if any EYB Credit, EYB Reward or Tier Reward has been fraudulently incurred or redeemed by Member, Etihad may request payment in respect of such EYB Rewards o Tier Rewards and Member shall promptly pay such amount to Etihad.

11.1      Nothing in these Terms and Conditions shall limit or exclude either Party’s liability: (i) for fraud or fraudulent misrepresentation; or (ii) that cannot be excluded or limited by applicable law.

 

11.2      Subject to clause 11.1, neither Party shall be liable to the other Party, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, in any way for: (i) loss of profits, sales, business, anticipated savings or revenue; (ii) business interruption; (iii) loss or corruption of data or information; (iv) loss of business opportunity, goodwill or reputation; or (v) any special, indirect or consequential loss or damage.

 

11.3      Subject to clauses 11.1 and 11.2, each Party’s total aggregate liability to the other Party under or in connection with this Agreement, whether in contract, tort (including negligence) or otherwise shall be limited to $500 USD.

12.2      Business shall comply with all applicable privacy, data protection and security laws and regulations in relation to its participation in Etihad For Business and any related matters contemplated in the Agreement.

 

12.3      The Business represents that it has entered into a Data Authorization Agreement (“DAA”) with a data aggregation provider approved in writing by Etihad (the “Data Aggregation Provider”) for the transmission of ticket-level detailed transactional data and has provided Etihad with an executed copy of same. During the Term, Member shall transfer ticket-level detailed transactions data to the Data Aggregation  Provider. The benefits hereunder are conditional on Business having entered into such DAA and maintaining such DAA for the Term.

13.1      Each Party undertakes not to, during the Term and for a period of five any confidential information received from the other Party in connection with this Agreement and concerning the other Party’s  business, including the details of any Tier Rewards (“Confidential Information”), except as permitted by clause

 

13.2      Each Party may disclose the other Party’s Confidential Information:

 

13.2.1      to its employees, officers, representatives, subcontractors or advisers who need to know the Confidential Information for the purpose of undertaking its obligations or exercising its rights under this Agreement, and such Party shall ensure that its employees, officers, representative, subcontractors or advisers comply with the terms of this Agreement; and

 

13.2.2      as may be required by law, a court of competent jurisdiction or any governmental or regulatory authority.

 

13.3      Each Party may only use the other Party’s Confidential Information for the purpose of undertaking its obligations or exercising its rights under this Agreement.

14.1      Variation. Etihad may amend the Agreement from time to time and shall notify such changes to Business. For the avoidance of doubt, Etihad reserves the right to amend from time to time:

 

(i)       the manner in which EYB Credits are calculated or credited; (ii) the manner in which EYB Credits may be redeemed; (iii) the EYB Rewards and Tier Rewards; (iv) the required Eligible Spend for Member Tiers; (v) any special offers or promotions offered to Members; and (vi) the criteria for membership of Etihad For Business. If the Business does not want to accept a change to the Terms and Conditions, it may terminate the Agreement in accordance with clause 10.1.

 

14.2      Severability. If any provision, or part of a provision, of the Agreement, is found by any court or administrative body of competent jurisdiction to  be illegal, invalid, or unenforceable, the legality, validity, or enforceability of the remainder of the provision or paragraph which contains the relevant provision shall not be affected, unless otherwise  stipulated under applicable law and the rest of the Agreement shall continue in full force and effect.

 

14.3      Waivers. Failure or delay by Etihad to enforce any of its rights against  the Business shall not be construed as a waiver of such rights. Any waiver by Etihad must be in writing to be effective. A waiver of any right shall not be deemed a waiver of any other rights or of any subsequent default by the Business.

 

14.4      Tax. Business is solely responsible for any tax payable in relation to its participation in Etihad For Business. Etihad bears no responsibility for any taxation obligations in any jurisdiction arising from participation in Etihad For Business, including tax payments, reporting, and any other related compliance obligations.

 

14.5       Assignment. Etihad may assign or transfer its rights and obligations under these Terms and Conditions to another person without the Business’s prior written consent. The Business may only transfer its rights or obligations under these Terms and Conditions to another person with the prior written consent of Etihad.

 

14.6      Entire agreement. The Agreement constitutes the entire agreement between the Parties in relation to its subject matter. It replaces and extinguishes all prior agreements, draft agreements, arrangements, collateral warranties, collateral contracts, statements, assurances,representations, and undertakings of any nature made by or on behalf of the Parties, whether oral or written, inrelation to that subject matter.

 

14.7      No agency. Nothing in the Agreement is intended to, or shall be deemed to, establish any partnership or joint venture between the Parties, nor constitute either Party the agent of the other Party, or authorise either Party to make or enter into any commitments for or on behalf of the other Party.

 

14.8       Force majeure. Neither Party will be responsible for non-performance or delays in performance caused by actions beyond its control, such as  acts of God or by governmental authority, strikes or labour disputes,  weather, natural disasters, endemic or pandemic diseases, mechanical difficulties, embargo, shortage of goods, or any other cause beyond the reasonable control of that Party.

 

14.9       Third Party Rights. Except where expressly documented in this Agreement, any natural or legal person who is not a party to this Agreement shall not have any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any of the provisions of this Agreement.

 

14.10       Governing law and jurisdiction. These Terms and Conditions (and any disputes or claims arising out of or in connection with these Terms and Conditions, their formation or Etihad For Business, including non-contractual disputes or claims) is governed by English law and is subject to the non-exclusive jurisdiction of the English courts.

 

14.11       Notices. Etihad will send any notices required under this Agreement to the contact details for the Applicant or Member as submitted on their application or updated on the Members’ Portal from time to time.The Business will send any notices required under this Agreement to Etihad at legal@etihad.ae.
